By accessing or using Yia Yia ("Service"), provided by Yia Yia Inc. ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

2. Description of Service

Yia Yia is a software-as-a-service platform that provides real-time phone interpretation services for call centers and customer service operations. Our Service integrates with and relies upon various third-party application programming interfaces ("Third-Party APIs") to provide functionality to users.

3. User Accounts

You must create an account to access certain features of our Service. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Restrictions

You must be at least 18 years old to create an account. You may not create multiple accounts or share your account with others.

4. Third-Party Services and APIs

4.1 Third-Party Dependencies

Our Service relies on third-party APIs and services to provide certain functionality. These third-party services have their own terms of service, privacy policies, and operational limitations.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Yia Yia Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business use.

8.3 User Content

You retain ownership of any content you submit to our Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content as necessary to provide the Service.

We strive to maintain high service availability but do not guarantee uninterrupted access. The Service is provided "AS IS" and "AS AVAILABLE."

9.2 Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL YIA YIA INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

9.4 Third-Party Limitations

WE ARE NOT LIABLE FOR ANY ISSUES, DAMAGES, OR LOSSES ARISING FROM THIRD-PARTY API FAILURES, CHANGES, OR DISCONTINUATION OF SERVICES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Yia Yia Inc. from and against any claims, damages, losses, and expenses arising out of or relating to your use of the Service or violation of these Terms.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using account deletion features within the Service.

11.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion.

11.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may delete your account and data, subject to applicable law and our Privacy Policy.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state of Utah, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in the state of Utah, conducted under the rules of the American Arbitration Association.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and Yia Yia Inc. regarding the Service and supersede all prior agreements and understandings.
